ITEM 7.01.     REGULATION FD DISCLOSURE.
On July 20, 2018, LaSalle Hotel Properties (the “Company”) issued a press release confirming that it received a letter from Pebblebrook Hotel Trust (“Pebblebrook”) on July 20, 2018 reconfirming its previously announced proposal to acquire the Company. A copy of such press release is furnished as Exhibit 99.1 to this report.
In addition, on July 20, 2018, the Company issued a press release announcing that it has set the record date for the special meeting of shareholders (the “Special Meeting”) to vote on the proposal to approve the previously announced merger with affiliates of Blackstone Real Estate Partners VIII L.P. and other transactions contemplated by the Agreement and Plan of Merger, dated as of May 20, 2018 (the “Blackstone Merger Agreement”), among BRE Landmark Parent L.P., BRE Landmark L.P., BRE Landmark Acquisition L.P., the Company and LaSalle Hotel Operating Partnership, L.P. Shareholders of record as of the close of business on July 20, 2018 will be entitled to vote at the Special Meeting. A copy of such press release is furnished as Exhibit 99.2 to this report.

On July 20, 2018, the Company confirmed that it received a letter from Pebblebrook on July 20, 2018 reconfirming its previously announced proposal to acquire the Company.
In addition, on July 20, 2018, the Company announced that it has set the record date for the Special Meeting to vote on the proposal to approve the previously announced merger with affiliates of Blackstone Real Estate Partners VIII L.P. and other transactions contemplated by the Blackstone Merger Agreement. Shareholders of record as of the close of business on July 20, 2018 will be entitled to vote at the Special Meeting.

LASALLE HOTEL PROPERTIES CONFIRMS RECEIPT OF LETTER
FROM PEBBLEBROOK HOTEL TRUST

BETHESDA, Md.-July 20, 2018-LaSalle Hotel Properties (NYSE: LHO) (“LaSalle” or the “Company”) today confirmed that it received a letter from Pebblebrook Hotel Trust (NYSE: PEB) (“Pebblebrook”) on July 20, 2018 reconfirming its previously announced proposal to acquire LaSalle in a transaction with consideration of 0.92 common shares of Pebblebrook per common share of LaSalle, with the option for LaSalle shareholders to elect to receive cash up to a maximum of 20% in aggregate of the consideration, subject to pro ration.

On May 21, 2018, LaSalle entered into a definitive agreement with affiliates of Blackstone Real Estate Partners VIII, under which Blackstone will acquire all outstanding common shares of beneficial interest of LaSalle for $33.50 per share in an all-cash transaction valued at $4.8 billion (the “Blackstone Merger Agreement”).

Although LaSalle’s Board of Trustees (the “Board”) previously determined that the Pebblebrook proposal did not constitute, and could not reasonably be expected to lead to, a “Superior Proposal” as defined in the Blackstone Merger Agreement, the Board will carefully review Pebblebrook’s letter to determine the course of action that it believes is in the best interest of the Company’s shareholders. The Board has not changed its recommendation of the existing transaction with Blackstone and expects to respond to Pebblebrook’s letter in due course.

LaSalle shareholders are advised to take no action at this time.

LASALLE SETS RECORD DATE FOR SPECIAL MEETING OF SHAREHOLDERS TO VOTE ON MERGER AGREEMENT WITH BLACKSTONE

Shareholders of Record as of the Close of Business on July 20, 2018 Will Be Entitled to Vote at the Special Meeting

BETHESDA, Md.-July 20, 2018-LaSalle Hotel Properties (NYSE: LHO) (“LaSalle” or the “Company”) today announced that it has set the record date for the special meeting of shareholders (the “Special Meeting”) to vote on the proposal to approve the previously announced merger with affiliates of Blackstone Real Estate Partners VIII and other transactions contemplated by the Blackstone Merger Agreement.

Shareholders of record as of the close of business on July 20, 2018 will be entitled to vote at the Special Meeting. As previously announced, under the terms of the Blackstone Merger Agreement, each share of common stock issued and outstanding immediately prior to the effective time of the merger will be canceled and automatically converted into the right to receive $33.50 in cash, without interest and less any applicable withholding taxes.

The merger is contingent upon customary closing conditions, including the affirmative vote of the holders of at least 66 2/3% of LaSalle’s common shares at the Special Meeting. The transaction is not contingent on receipt of financing.
